  • Gambling or online betting
  • Illegal or unethical activities under U.S. law

3. Services Provided

Grit GPS Digital LLC offers:

  • Paid digital marketing services, including the setup and management of online advertising campaigns (e.g., Google Ads, Meta/Facebook Ads)
  • Access to proprietary software and AI-powered marketing platforms
  • Educational resources, strategy templates, and business growth materials
  • Optional promotional trials and performance-based campaigns with growth guarantees
  • Membership or subscription-based services with recurring billing

Some Services may include free trials, promotional offers, or performance-based guarantees, which are governed by specific agreements or campaign terms.

4. Performance Guarantee (When Applicable)

If your service agreement includes a performance guarantee, the following applies:

  • Growth Percentage Guarantee: We may guarantee a percentage growth in gross sales based on conversions reported in your ad platform dashboard.
  • Guaranteed Customer Volume: We may guarantee a certain number of store visits or customer conversions within a defined period.
  • In either case, if we fail to meet the agreed benchmark, we will continue working at no charge for up to 90 days in an effort to fulfill the guarantee.
  • If we still fail to meet the outcome, services will be terminated.
  • There are no refunds for the first three months of service or for any advertising spend paid directly to third-party platforms (e.g., Meta, Google). You acknowledge and agree that Grit GPS Digital LLC is not responsible for ad spend costs.

5. Payment Terms

Unless otherwise agreed in writing:

  • All Services are subject to a one-time setup fee and a monthly service fee, which may auto-renew.
  • By subscribing, you authorize us to charge your payment method on a recurring basis.
  • All payments are non-refundable, including but not limited to setup fees, monthly service charges, and third-party ad spend.
  • If payment fails or is reversed, we may suspend or terminate your access to our Services.

6. Client Responsibilities

To achieve optimal results, you agree to:

  • Provide accurate and complete business and financial information
  • Cooperate with onboarding and provide timely approvals when requested
  • Maintain access to your ad accounts and grant appropriate permissions to our team
  • Accept that results may vary based on market conditions, offer quality, and external economic factors beyond our control

7. User Data & Privacy

We collect and store user data including, but not limited to:

  • Name, email, phone number, business name, address, payment details, and business metrics
  • Analytics and behavioral data via tracking tools such as Meta Pixel, Google Analytics, and HotJar

We use this data to:

  • Provide and improve our Services
  • Communicate with you via email and SMS (transactional and promotional)
  • Perform retargeting and remarketing campaigns
  • Comply with applicable legal obligations

By using our Services, you consent to our data practices, which are further detailed in our Privacy Policy.

8. Marketing Communications

By providing your contact information, you consent to receive emails, texts, and phone calls from us. You may opt-out of promotional messages at any time by following the unsubscribe instructions in our messages.
However, opting out of promotional messages does not stop important transactional or service-related communications.

9. Intellectual Property

All materials, designs, code, templates, videos, and resources provided through our Services are the sole intellectual property of Grit GPS Digital LLC or its licensors.
You may not copy, distribute, modify, or resell any content without written permission. Unauthorized use may result in legal action.

Our total liability to you shall not exceed the amount you paid us in the three (3) months prior to the event giving rise to the claim.
